Position Overview:

Andersen in Rwanda (hereafter referred to as ‘the Firm’) is seeking a highly skilled and experienced individual to fill the role of Corporate Services Lead. The successful candidate will be responsible for managing all aspects of corporate governance, ensuring compliance with company law, and providing secretariate services to the company and its clients. This role is critical in maintaining the legal integrity of the company and its clients, ensuring that all corporate actions comply with relevant laws and regulations.

Key Responsibilities:

Corporate Governance:

  • Oversee and ensure compliance with corporate governance principles for the Firm’s clients.
  • Advise the board of directors on governance best practices, including the development and implementation of governance frameworks.
  • Prepare and review board and committee charters, ensuring alignment with legal and regulatory requirements.

Company Secretarial Duties:

  • Provide comprehensive secretariate services, including organizing board meetings, preparing agendas, drafting minutes, and maintaining statutory records.
  • Manage the filing of necessary documents with regulatory authorities, such as the Rwanda Development Board (RDB) and other relevant bodies.
  • Ensure timely and accurate preparation of annual returns and other required filings.

Legal Compliance:

  • Monitor changes in company law, regulations, and corporate governance practices to ensure the company and its clients remain compliant.
  • Provide expert advice on corporate legal matters, including the interpretation and application of company law and regulations.
  • Coordinate with external legal counsel when necessary to handle complex legal issues.

Risk Management:

  • Identify and assess legal and compliance risks related to corporate governance and company law.
  • Develop and implement risk mitigation strategies to safeguard the company and its clients from legal and regulatory risks.
  • Conduct regular compliance audits and reviews to ensure ongoing adherence to legal requirements.

Client Support:

  • Provide company secretariate and compliance services to the Firm’s clients, ensuring they meet all statutory obligations.
  • Assist clients in understanding and navigating the regulatory environment in Rwanda, offering tailored solutions to meet their specific needs.

Training and Development:

  • Develop and deliver training programs on corporate governance, company law, and compliance for internal staff and clients.
  • Stay updated on industry trends and legal developments to continually improve the quality of services provided.

Qualifications:

  • Bachelor’s degree in law or a related field.
  • Minimum of 5 years of experience in company secretarial services, corporate governance, or company law compliance, preferably within a consulting firm or legal environment.
  • Strong knowledge of Rwandan company law, corporate governance practices, and regulatory frameworks.
  • Excellent organizational skills with the ability to manage multiple tasks and prioritize effectively.
  • Strong communication skills, both written and verbal, with the ability to interact with senior management and external stakeholders.
  • High attention to detail and a commitment to maintaining the highest standards of accuracy and integrity.
  • Proficiency in using legal and corporate governance software tools is an advantage.
  • Knowledge and experience in data protection law
